Terms of Service

1. Agreement to Terms

By engaging NyphexLLC ("Company," "we," "us") for website design services, you ("Client," "you") agree to these Terms of Service. These terms constitute a binding agreement between you and Nyphex LLC.

2. Scope of Work

Our standard Website Upgrade service ($499) includes the following:

  • Custom website redesign of up to 5 pages
  • Mobile-responsive design optimized for all devices
  • Click-to-call functionality and contact form
  • Google Maps integration
  • SSL security certificate
  • Basic SEO setup (meta titles, descriptions, favicon)
  • Google Analytics installation
  • One round of revisions (up to 5 changes in a single written request within 14 days of delivery)
  • 30-day warranty from date of delivery

Additional pages beyond 5 are available at $99 each, up to 3 extra pages. Projects requiring more than 8 pages require a custom quote.

The following are not included in the standard service: blog functionality, image galleries with more than 10 images, product catalogs, databases, e-commerce features, or custom web applications. These services may be quoted separately.

3. Preview and Approval

Before any payment is collected, we provide a redesign preview for your review. By checking the approval checkbox and proceeding to payment, you acknowledge that you have reviewed the preview and agree to proceed with the project based on the design shown.

4. Payment

Payment is collected via Stripe after you approve the redesign preview. The full project amount is due at the time of approval. All prices are in US Dollars. Payments are processed securely through Stripe and are subject to Stripe's terms of service.

5. Delivery Timeline

We aim to deliver your completed website within 5-7 business days after receiving all required assets (logo, photos, business information, content). This timeline begins when we have received everything needed to build your site.

If you have not provided the required assets within 30 days of payment, we reserve the right to build your site using publicly available content from your existing website and business listings.

6. Asset Collection

After payment, you will receive a form to submit your business assets including your logo, photos, business hours, and any content you want included. We send reminders at Day 3, Day 7, and Day 14 if assets have not been received.

7. Revisions and Changes

One revision round is included in the standard price. A revision round consists of up to 5 text or image changes submitted in a single written request within 14 days of delivery. A single text change is defined as a modification to one text element (heading, paragraph, phone number, address, hour, or menu item).

Additional changes beyond the included revision round are available through our Content Update service ($149) or Annual Care Plan ($249/year).

8. Money-Back Guarantee

If you are not satisfied with the delivered website, you may request a full refund within 30 days of delivery. To request a refund, contact us at https://nyphex.com/contact. Upon refund, we will take down the delivered website and you will no longer have access to the design or code.

9. Warranty

All delivered websites include a 30-day warranty from the date of delivery. During this period, we will fix any bugs, broken links, or functional issues at no additional cost. The warranty resets when revisions are delivered. After the warranty period, fixes are handled through our Content Update or Care Plan services.

10. Intellectual Property and Licensing

Upon full payment, you receive a perpetual, non-exclusive license to use, modify, and host the delivered website. This license cannot be revoked as long as payment has been completed. You may transfer the site to another hosting provider at any time. Upon written request, we will provide a full file export within 14 days.

11. Website Hosting and Maintenance

Your website is initially deployed on our hosting infrastructure. You may choose to point your own domain to the site or use a subdomain we provide. We are not responsible for domain registration or DNS configuration beyond providing written instructions for your registrar.

12. Client Responsibilities

You are responsible for providing accurate business information, logos, photos, and content for your website. You represent that you have the right to use all materials you provide to us. You are responsible for maintaining your domain registration and DNS settings.

13. Limitation of Liability

Nyphex LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to these services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim. We are not liable for any loss of business, revenue, or data arising from the use or inability to use the delivered website.

14. Termination

Either party may terminate this agreement at any time with written notice. If you terminate after payment but before delivery, the money-back guarantee applies. Client websites will never be taken down as leverage in any dispute.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Harris County, Texas.

16. Changes to Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
